Governing Law

These Terms and Conditions and all associated agreements shall be governed by and construed in accordance with the laws of India, without regard to its conflicts of law principles.

Jurisdiction & Dispute Resolution

• For disputes between VDOfy and clients, parties agree to first attempt resolution through good-faith negotiation
• If negotiation fails, disputes will be subject to arbitration under the Arbitration and Conciliation Act, 1996 (India)
• Arbitration will be conducted in Bangalore, India, in English language
• Both parties waive the right to pursue litigation in courts for disputes arising from this agreement

International Compliance Standards

While governed by Indian law, VDOfy voluntarily complies with international data protection standards to serve global clients:

• GDPR (General Data Protection Regulation) - For clients and users in EU/EEA
• CCPA (California Consumer Privacy Act) - For California residents

Data Processing & International Transfers

• International clients' data may be transferred to India for processing

The following terminology applies to these Terms and Conditions: "Client", "You" and "Your" refers to you, the person accessing this website and compliant to the Company's terms and conditions. "The Company", "Ourselves", "We", "Our" and "Us", refers to VDOfy/3rd I Visuals Private Limited. "Party", "Parties", or "Us", refers to both the Client and ourselves.

SYNTHETIC MEDIA & AI-GENERATED CONTENT DISCLOSURE

What We Create

VDOfy (Being CreAItive) produces video content using multiple production methods:

• Traditional live-action filming with real actors and locations
• AI-generated synthetic videos and imagery
• Digital humans, cloned actors, and virtual influencers
• Computer-generated imagery (CGI) and 3D animation
• Hybrid productions combining real footage with AI enhancement

Portfolio & Sample Disclosure

Our portfolio at vdofy.com/ai/ contains examples across all production methods. Portfolio samples are classified as:

• [SPEC] = Conceptual/speculative work (not produced for a client)
• [AI-GENERATED] = Fully synthetic content created by AI tools
• [REAL] = Live-action footage with human performers
• [HYBRID] = Combination of real and AI-generated elements
• [CASE STUDY] = Verified client project (client identity available upon request)

All sample classifications are clearly marked on our website. If classification is unclear, clients should contact us before proceeding.

Client Deliverable Standards

All deliverables provided to clients will include:

• Clear documentation of production methods used
• Disclosure if content contains synthetic humans or deepfakes
• Explicit notice if content is intended for social media, ads, or other platforms
• Compliance with platform-specific requirements (e.g., YouTube, Meta, Google Ads)

This disclosure will be provided in writing before final delivery.

Regulatory Compliance for Synthetic Content

We comply with all platform and regulatory requirements for synthetic media:

• Google Ads: Clear disclosure of AI-generated/synthetic content in ad creatives
• YouTube: Labeling of "Altered or Synthetic Content" as per platform policy
• Social Media: Full disclosure of synthetic humans/deepfakes per platform policy
• Advertising Standards: Compliance with FTC, ASA, and regional regulations

Clients are responsible for ensuring their use of deliverables complies with applicable laws and platform policies in their target markets.

No Misrepresentation Guarantee

VDOfy will not create content designed to deceive users into believing:

• Synthetic humans are real people
• AI-generated videos depict actual events that did not occur
• Content is authentic documentation when it is synthetic

All synthetic content will be clearly labeled as such. Clients requesting misleading or deceptive content will have their project declined.

Parts of this website offer an opportunity for users to post and exchange opinions and information in certain areas of the website. 3rd I Visuals Private Limited does not filter, edit, publish or review Comments prior to their presence on the website. Comments do not reflect the views and opinions of 3rd I Visuals Private Limited,its agents and/or affiliates. Comments reflect the views and opinions of the person who post their views and opinions. To the extent permitted by applicable laws, 3rd I Visuals Private Limited shall not be liable for the Comments or for any liability, damages or expenses caused and/or suffered as a result of any use of and/or posting of and/or appearance of the Comments on this website.

VIDEO / A PLUS CREATION PROCESS & TERMS

SCRIPT WRITING STAGE
1. We will create a script based on guidelines provided and information provided by the client. The script will be as per the type of video/A Plus selected and the length of the video.
2. We will upload the first draft of the script for your suggestions.
3. If you give us some suggestions, we will incorporate.
4. Up to 2 rounds of suggestions/ changes will be entertained.
5. We will upload the revised script for final approval.
6. After you approve the script, we will start the video/a Plus production.
7. Changes in the script, once approved, will not be allowed.

VIDEO PRODUCTION / A PLUS CREATION STAGE
1. Once the video/ A Plus is done, we will upload you the first cut.
2. If you have any suggestions regarding how to improve the video, we will incorporate them.
3. Only 1 round of suggestions/ changes will be entertained.
4. We will upload the revised video for your final approval.
5. Once the final approval is done and on balance payment, the final video will be made available for downloading from the website.
6. Changes in the approved script will not be allowed at this stage.

WHAT CAN YOU CHAGE IN THE SCRIPT / VIDEO /A PLUS CATALOG?
1. Up to 2 rounds of suggestions/ changes can be made during the process of script writing (before the final approval of the script).
2. Only 1 round of suggestions/ changes will be entertained once the first cut of the video is uploaded.
3. Changes like spelling errors, grammatical corrections, change of the image used, color of background or font style will be made. Minor changes in the Supers (on-screen texts) can be incorporated on a case-to-case basis. But all of these should come in a single wave. Changes in voice over not allowed.
4. Any major changes in the video that requires changing the script, like changing voice over, adding a new scene and/or changing the template or style of the video will not be allowed.

FURTHER CHANGES, EDITS & ADAPTS
1. Changes in the Voice Over will be charged Rs. 1500 per instance.
2. Further changes, in the Supers (on-screen texts), and images, beyond the first round, will be charged Rs. 500 per instance.
3. Note: If you ask for 3-4 changes at one go, we will consider that as one single instance)

PAYMENT TERMS & REFUND POLICY

Payment Schedule

All projects require the following payment structure:

Phase 1: Project Confirmation

• 50% advance payment required to confirm order and begin work
• Payment must be received before script writing commences
• GST (Goods and Services Tax) applies to all invoiced amounts
• Proforma invoice issued upon order confirmation

Phase 2: Final Delivery

• Remaining 50% balance due upon final delivery of completed video
• Final GST invoice generated after full payment received
• Deliverable access granted only after balance payment clears

Refund Policy

Before Work Begins (Pre-Script Stage):

• If client requests cancellation before script writing starts: 80% refund of advance
• 20% retained as administrative and booking cancellation fee
• Refund processed within 10 business days

During Script & Approval Stage (Before Production Starts):

• If client cancels after script approval: 60% refund of advance
• 40% retained for pre-production work completed (concepts, research, reference materials)
